Terms of Service

1. Who we are & acceptance
Nearli ("Nearli," "we," "us") is a local-discovery service operated from Austin, Texas. By creating an account or using Nearli (the website, web app, or mobile apps — together, the "Service"), you agree to these Terms and to our Privacy Policy and Community Guidelines, which are part of these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 13 years old to use Nearli. If you are under 18, you may use the Service only with the consent of a parent or legal guardian. By using the Service you represent that you meet these requirements and that any information you provide is accurate.
3. What Nearli is (and is not)
Nearli helps you discover events, businesses, and places near you, including through AI-generated recommendations. We are a discovery platform only. We do not organize, host, operate, sponsor, or endorse the events, venues, or businesses shown in the Service, and we are not a party to any transaction between you and them (including tickets, reservations, food, or drinks). Event details — times, dates, prices, locations, availability — come from third-party sources and from businesses themselves, and can change or be wrong. Always verify with the organizer or venue before making plans, purchases, or travel.
4. AI-generated recommendations
Nearli's assistant selects suggestions from a catalog of real events and places, but its responses are generated by artificial intelligence and may be inaccurate, incomplete, or out of date. AI output is provided for informational purposes only, is not professional advice of any kind, and does not constitute an endorsement or guarantee of any event, venue, or business.
5. Assumption of risk (please read carefully)
ATTENDING EVENTS AND VISITING PLACES INVOLVES INHERENT RISKS. YOU ARE SOLELY RESPONSIBLE FOR YOUR OWN SAFETY, CONDUCT, AND DECISIONS WHEN YOU GO ANYWHERE OR MEET ANYONE — INCLUDING OTHER USERS — BASED ON INFORMATION FOUND ON NEARLI. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU ASSUME ALL RISK ARISING FROM YOUR IN-PERSON ACTIVITIES, AND NEARLI IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF ANY USER, EVENT ORGANIZER, VENUE, OR BUSINESS. Never use the app while driving, and always comply with venue rules and applicable laws.
6. Your account
You are responsible for your account and for keeping your sign-in credentials secure. Notify us promptly of any unauthorized use. We may refuse, reclaim, or modify usernames that violate these Terms or the rights of others. You may delete your account at any time in Settings; deletion is permanent.
Data deletion. User data is permanently deleted within 30 days after account deletion, except where retention is required by law. Content you shared into shared spaces (for example, group messages others still rely on) and records we must keep for legal, tax, security, or fraud-prevention purposes may be retained for the period the law requires, after which it is deleted.
7. Your content & copyright responsibility
You keep ownership of the content you submit (photos, messages, profile details, listings — "User Content"). You grant Nearli a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your User Content solely to operate, provide, and improve the Service. This license ends when you delete the content or your account, except where content has been shared with others (e.g., group messages) or where retention is required by law.
You are solely responsible for the content you upload. By posting any photo or other User Content, you represent and warrant that: (a) you created it yourself or have obtained all rights, licenses, consents, and permissions necessary to post it; (b) it does not infringe any copyright, trademark, publicity, privacy, or other right of any person or entity; and (c) you have the consent of any identifiable person appearing in it. Do not upload photos taken from the internet, social media, stock libraries, press images, album or event artwork, or anyone else's work.
Nearli does not pre-screen User Content and is not responsible for it. If you post infringing content, you are responsible for any resulting claims and you agree to indemnify us for them under Section 16. We may remove any User Content at any time, and we terminate the accounts of repeat infringers. See Section 10 for how to report infringement.
8. Acceptable use
You agree not to: (a) post content that is unlawful, infringing, defamatory, harassing, hateful, pornographic, or that exploits or endangers minors; (b) impersonate any person or misrepresent your affiliation; (c) submit false check-ins, fraudulent listings, or manipulated photos; (d) stalk, harass, or harm another user, or collect users' personal information; (e) spam, scrape, reverse engineer, or interfere with the Service or its security; (f) use the Service to send unsolicited commercial messages; or (g) use the Service in violation of any applicable law. The Community Guidelines contain additional rules for photos and check-ins.
9. Moderation, reporting & enforcement
We may (but are not obligated to) review, screen, remove, or restrict any content or account at our discretion, including content reported by users through the in-app Report and Block tools. We may suspend or terminate accounts that violate these Terms, with or without notice. User Content is the responsibility of the person who posted it; we do not endorse it and are not liable for it.
10. Copyright (DMCA)
We respect intellectual-property rights. If you believe content on Nearli infringes your copyright, send a notice through the Help section including: (1) identification of the copyrighted work; (2) the URL or location of the infringing material; (3) your contact information; (4) a statement of good-faith belief that the use is unauthorized; (5) a statement, under penalty of perjury, that the information is accurate and you are the owner or authorized to act for the owner; and (6) your physical or electronic signature. We will remove infringing content and may terminate repeat infringers' accounts.
11. Subscriptions & billing (auto-renewal disclosure)
Nearli offers optional paid plans: Nearli Premium for individuals ($4.99/month) and business listing tiers (Basic $29.99/month, Featured $79.99/month, Premium $199.99/month). Prices are shown before you buy and may change with notice for future billing periods. Paid plans renew automatically each month and your payment method is charged at the start of each billing period until you cancel. You can cancel anytime in the app (Profile → Premium, or your business dashboard); cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods. Payments are processed by Stripe; we never store your full card number.
12. Business listings
If you create a business listing, you represent that you are authorized to represent that business and that listing information is accurate and lawful. We may edit, reject, or remove listings that are inaccurate, misleading, or violate these Terms. Featured placement affects visibility within Nearli only and is not an endorsement.
13. Third-party services & links
The Service displays content from third parties (including ticketing providers) and links to external sites such as ticket pages and map directions. We are not responsible for third-party sites, services, or content. All trademarks, event names, and business names belong to their respective owners; their appearance in Nearli does not imply affiliation or endorsement.
14. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT ANY EVENT, PLACE, OR RECOMMENDATION SHOWN IN THE SERVICE IS ACCURATE, SAFE, OR SUITABLE FOR YOU.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEARLI AND ITS OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR ATTENDANCE AT ANY EVENT OR PLACE DISCOVERED THROUGH IT. TO THE SAME EXTENT, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
16. Indemnification
You agree to defend, indemnify, and hold harmless Nearli and its operator from claims, damages, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service, your attendance at events, or your violation of these Terms or any law or third-party right.
17. Disputes, arbitration & class-action waiver
Before filing a claim, you agree to try to resolve the dispute informally by contacting us through the Help section; most concerns can be resolved this way within 30 days. Any dispute that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. YOU AND NEARLI EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. You may opt out of this arbitration provision by notifying us through the Help section within 30 days of first accepting these Terms.
18. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Subject to Section 17, any proceedings will take place in the state or federal courts located in Travis County, Texas, and you consent to their jurisdiction.
19. Changes to the Service or Terms
We may modify or discontinue features at any time. We may update these Terms from time to time; if a change is material we will give reasonable notice (for example, in-app or by email). Continued use of the Service after changes take effect constitutes acceptance. If any provision of these Terms is found unenforceable, the rest remain in effect.
